- Forms, calendars, dashboards and other online tools provided by IQ Digital; and

IQ Digital’s services are intended exclusively for businesses and professional users, particularly chiropractic clinics and their authorised staff. They are not offered to consumers for personal use.

Paid services are governed by a separate IQ Digital Service Agreement. If these Terms conflict with a signed Service Agreement, the Service Agreement takes priority.

3. Website information and strategy calls

Information provided on this website is intended to explain IQ Digital’s services and does not constitute a binding contractual offer.

Booking a free strategy call does not create an obligation to purchase services. A binding service relationship begins only when the Client accepts the applicable Service Agreement and any required payment has been received.

IQ Digital does not provide healthcare, medical, clinical, legal, tax or financial advice. Clinics remain responsible for all clinical decisions, treatments, patient communications and patient outcomes.

4. User accounts and platform access

Platform access may be provided to IQ Digital clients and their authorised team members.

Users agree to:

- Provide complete and accurate account information;

- Keep login details secure and confidential;

- Restrict access to authorised users;

- Notify IQ Digital promptly of suspected unauthorised access; and

- Accept responsibility for activity carried out through their account.

Accounts and login credentials may not be sold, transferred or made available to unauthorised third parties.

IQ Digital may temporarily restrict or suspend access where reasonably necessary to protect platform security, investigate suspected misuse, comply with legal obligations or address a material contractual breach.

5. Acceptable use

Users must use the website and platform only for lawful business purposes.

Users must not:

- Send unlawful, unsolicited, misleading or abusive communications;

- Upload malicious software or attempt to disrupt platform operation;

6. Third-party services

IQ Digital’s systems may rely on third-party providers, including HighLevel/LeadConnector, Meta, Google Workspace, Zoom, telecommunications providers, messaging services, calendar providers and payment processors.

Use of certain features may also be subject to the relevant provider’s terms and policies.

IQ Digital is not responsible for outages, restrictions, suspensions, policy changes or other failures caused by independent third-party providers. Where reasonably possible, IQ Digital will take appropriate steps to minimise disruption.

7. Services and performance

The Patient Acquisition System is designed to generate, qualify and follow up with prospective patients and guide suitable prospects towards booking appointments.

Results may be affected by factors including:

- Advertising budget;

- Local demand and competition;

- Clinic availability;

- Speed of clinic response;

- Offer quality;

- Platform restrictions;

- Appointment handling;

- Patient attendance; and

- The clinic’s in-clinic conversion process.

Any performance guarantee applies only where it is expressly included in a signed Service Agreement and remains subject to the eligibility requirements and exclusions stated in that agreement.

Nothing on this website creates a separate or unconditional guarantee of appointments, revenue, profitability or patient outcomes.

8. Fees and payments

Accessing the public website and booking a strategy call are free of charge.

Agency fees, advertising expenditure, third-party costs, payment terms, refunds, renewal arrangements and cancellation rights for paid services are governed by the applicable Service Agreement and invoice.

9. Intellectual property

Unless otherwise stated, the website content, copy, branding, graphics, templates, funnel structures, workflows, automations, reporting systems, configurations, processes and the Patient Acquisition System are owned by or licensed to IQ Digital.

Users receive only the limited, non-exclusive and revocable right to use the platform and materials for the purpose agreed with IQ Digital.

No content or system component may be copied, distributed, resold, sublicensed, publicly displayed or used to create a competing service without prior written permission.

Clients retain ownership of their branding, photographs, testimonials, domains, advertising accounts, patient and lead information, and materials supplied to IQ Digital. Intellectual property belonging to third-party providers remains the property of those providers.

10. Privacy and confidential information

Where IQ Digital processes campaign patient information on behalf of a clinic, the respective data-protection roles and responsibilities are governed by the Service Agreement and any applicable data-processing terms.

Users must protect confidential information accessible through the platform and may use it only for authorised business purposes.

11. Email and SMS communications

The IQ Digital Appointment and Service Updates programme may send communications to individuals who have provided the appropriate details or consent.

Messages may include:

- Strategy-call confirmations;

- Zoom meeting information;

- Appointment reminders;

- Requested follow-up messages;

- Account notifications; and

- Service-related updates.

Marketing messages will be sent only where the appropriate consent or other lawful permission exists. Marketing consent is not a condition of purchasing IQ Digital’s services.

Message frequency varies. Message and data rates may apply depending on the recipient’s provider and mobile plan.

Recipients may unsubscribe from SMS communications at any time by replying STOP. After an unsubscribe request is processed, a confirmation may be sent, and further SMS messages will stop unless the recipient opts in again.

Recipients may reply HELP or contact [email protected] for assistance. To rejoin after opting out, the recipient must complete the applicable opt-in process again or contact IQ Digital.

Mobile carriers are not responsible for delayed or undelivered messages.

Mobile information and SMS consent will not be provided to third parties or affiliates for their marketing or promotional purposes. Information may be made available only to service providers and telecommunications partners where necessary to operate and deliver the messaging service.

12. Platform availability and modifications

14. Liability

Nothing in these Terms excludes or limits liability for:

- Intentional misconduct or gross negligence;

- Injury to life, body or health;

- Fraudulent concealment;

- An expressly assumed guarantee; or

- Liability that cannot legally be excluded.

For a slightly negligent breach of an essential contractual obligation, liability is limited to losses that were typical and reasonably foreseeable when the relevant agreement was formed.

To the extent permitted by law, liability for other cases of slight negligence is excluded.

These limitations also apply to IQ Digital’s employees, representatives and service providers. They do not remove or restrict any express refund or performance guarantee contained in a signed Service Agreement.

15. Suspension and termination

Platform access may end when the applicable Service Agreement expires or is terminated.

IQ Digital may suspend or terminate access immediately where reasonably necessary because of:

- Unlawful activity;

- Non-payment;

- Serious security risk;

- Misuse of personal or patient information;

- Abusive behaviour;

- Material breach of these Terms; or

- Serious legal or reputational risk.

Treatment of Client data following termination is governed by the Service Agreement and Privacy Policy.

16. Governing law and jurisdiction

These Terms are governed by German law.

To the extent legally permissible, the courts with jurisdiction over Wiesbaden, Germany, will have exclusive jurisdiction over disputes arising from these Terms.

Mandatory legal rights and jurisdiction rules that cannot lawfully be excluded remain unaffected.

17. Changes to these Terms

IQ Digital may update these Terms to reflect changes to its services, platform, providers or legal obligations.

The current version will be published on this page with its latest revision date. Material changes affecting existing paid services remain subject to the applicable Service Agreement.

18. Severability

If any provision of these Terms is found to be wholly or partly invalid or unenforceable, the remaining provisions will remain effective. The relevant statutory provision will apply in place of the affected provision.
